The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

We are currently seeking a high caliber professional to join our team as Assistant Company Secretary.

In this role, you will

  • Support the Regional Company Secretary and the Senior Assistant Company Secretary, Asia Pacific, in managing the Company Secretarial function within the Regional Office. 
  • Advise the Board of Directors of companies of which they are Secretary, through the respective Chairman and, where appropriate, Chief Executive, on all corporate governance matters, seeking guidance only on the most unusual or very complex of matters.  
  • Provide direct support to the Board, its Committees and senior management.
  • Responsible for building networks and relationships with key stakeholders in which the job holder operates.  To contribute to the achievement of the objectives of the Region by ensuring that effective Company Secretarial support and advice is provided to all Group companies of which they are Secretary through an appropriate and consistent corporate governance framework.
  • Understand and act upon changes in legislation and regulation within Hong Kong, with particular regard to the continuing obligations of HSBC Holdings and The Hongkong and Shanghai Banking Corporation Limited.
  • Contribute to the development of strategic and operational objectives of the Global Company Secretarial function through the Regional Company Secretary, and Senior Assistant Company Secretary.
  • Handles complex issues and provides advice based on independent research 

To be successful in this role, you should meet the following requirements

  • Qualified company secretary or lawyer.
  • Detailed knowledge of the HSBC Group and a clear understanding of its corporate culture is desirable.  
  • Leadership, management and communication skills.
  • Lateral thinking, problem solving and creativity.
  • Communication and inter personal skills including the maintenance and development of relationships with
  • Experienced professional, likely to be a graduate with a professional qualification and several years' relevant experience, possessing and applying comprehensive knowledge of their specialist area.
