The Contract Administration Specialist participates in the development and fulfillment of contract requirements by examining estimates of materials, equipment, production costs, performance requirements and delivery schedules. Prepares bids, process specifications, test and progress reports, and other related items. Reviews bids from other firms for conformity to contract requirements and determines acceptable bids. Negotiates contracts and amends as needed. Acts as liaison between company and subcontractors to implement fulfillment of contracts. Works on more complex contracts, with limited supervision.

  • Contracts (various: including formal, short form, and annual contracts)Drafting, Evaluation, Negotiation and Execution.

  • Non-Disclosure Agreements, Sales / Purchasing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, Master Agreements, Business Associate Agreements (BAAs), review of customer proposed terms and conditions.

  • Distribution Agreements (resellers, agents, joint marketing etc.)

  • Serve as the point of contact for customers on contractual matters. In consultation with Publisher and legal department, act as contractual middleman between company employees and customers, ensuring timely review and approval / reconciliation of variations.

  • On all standard and nonstandard contracts, provide redlined recommendations and often negotiate directly with customer attorneys or purchasing staff until consensus has been reached.

  • Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects.

  • As needed, provide guidance on contract matters to practice leads, project managers or other operational staff, including training to new project managers and other employees in contracting practices and procedures.

  • Develop and implement procedures for contract management and administration in compliance with company policy. As appropriate, contribute to or influence company policies.

  • Monitor compliance by company employees with established procedures. Identify areas of recurrent pressure.

  • Work with WK Legal Dept / Outside Counsel to coordinate contracts, BAAs, NDA and Joint Marketing Agreements.

  • Work with Finance to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls etc. May include financial engineering and understanding / evaluating economic impact of terms and term options.

  • Support Product Management / Marketing to ensure company products and services are offered with appropriate, competitive terms and conditions.

  • Monitor competitive terms. Monitor customer satisfaction with our terms and conditions and contracting practices. Recommend changes.

  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.

  • Monitor transaction compliance (milestones, deliverables, invoicing etc.).

  • Ensure contract close-out, extension or renewal.

  • Assist sales teams in formal proposal, RFP / RFI writing and review.

  • Manage AMA / AHA relationships.

  • Negotiate contracts, fees and terms as requested.

  • Work with WK Finance Dept. on quarterly royalty payments and audits.

  • Performs other duties as assigned by Manager.

Minimum: Bachelor degree plus 5+ years business or related experience. Certified Commercial Contracts Manager (CCCM) and / or Certified Professional Contracts Manager (CPCM) desirable. Paralegal designation a plus. Healthcare laws and regulations experience is also highly desirable, e.g. HIPAA Omnibus Rule.

  • Experience handling large, multi-office accounts

  • Excellent verbal and written communication skills

  • Excellent organization, planning and presentation skills

  • Strong time management skills

  • Proficiency with Microsoft Office (PowerPoint, Outlook, Excel, Word) and Salesforce.com

Core Competency Requirements:

Ability to draft and modify moderate to complex, routine and non-routine contractual instruments. Working to excellent knowledge of corporate policies and procedures, coupled with ability to identify required improvement to established policies. Strong to excellent analytical and communication (both written and oral) skills. Good presentation, leadership and team-building skills. Use of independent judgment and creativity applied to resolution of contract issues. Excellent internal and external negotiation skills. Emerging ability to excel in upper level management environment, both internally and externally.
