The EIB, the European Union's bank is seeking to recruit for its Transaction Management and Restructuring Directorate (TMR) – Restructuring & Resolutions Division (RR) and Equity and Subordinate Debt Division (ESD) at its headquarters in Luxembourg, (Senior) Restructuring/Equity Officers.  These are full time positions at Grade 5/6

The EIB offers fixed-term contracts of up to a maximum of 6 years, according to business needs, with a possibility to convert to a permanent contract, subject to organisational requirements and individual performance.

Purpose

You will be the 1st line responsible for the post-signature counterpart and transaction management from 1st disbursement to exit (including relationship management, financial and contractual monitoring, contractual event resolutions and proposals for forbearance and comprehensive financial restructuring transactions) of a portfolio of complex debt or equity-type operations.

In order to protect the Banks interests and the integrity of its portfolios, your key objectives will be to:

Structure balanced solutions protecting the Banks financial interests under consideration of its specific mandate.
Propose and coordinate more complex forbearance, work-out and/or early exit situations in line with best banking practices.
Report and document solutions based on succinct credit and / or investment rationales
Ensure the timely and accurate rating, scoring, valuation / provision and ‘Know-your-Client’-review of each and every counterpart under your responsibility.

Specific post Environment

The Transaction Management and Restructuring Directorate (TMR) manages and monitor counterparts and financial contracts and acts on contractual events under its responsibility, as well as on distressed transactions in order to protect the EIB’s financial interest and reputation. The Directorate is responsible for the financial monitoring, event resolution, divestment and restructuring of (i) EU debt counterparts, (ii) equity funds, equity-type and subordinated instruments (after disbursement/investment or signature), as applicable (iii) EU and non-EU private sector distressed transactions. TMR is also responsible for developing, updating and implementing Bank-wide Financial Monitoring and Non-Performing Exposure guidelines.

Operating Network

You will report to the respective Head of Division/Head of Unit and will cooperate with colleagues within a network of multidisciplinary teams within TMR as well as other Directorates, Departments and Divisions across the Bank. You will in particular work with the Origination, Legal, Finance and Risk Management teams but also Compliance and Financial Control. You will also have contacts to senior staff of concerned counterparts, external stakeholders, external legal counsel, financial advisors and industry experts.

Accountabilities

  • Ensure continuous relationship with the Bank’s counterparts under the supervised portfolio. 
  • Manage, in an autonomous manner, a portfolio of selected higher risk positions within the Bank’s debt or equity-type book, specifically:
  • In case of equity-type: structure - based on a clear credit and / or investment rationale -,   contractual event resolutions, forbearance and comprehensive financial workouts (re)-structuring upside instruments and / or divestment proposals, and
  • In case of debt: structure - based on a clear credit rationale - complex financial proposals, negotiate and implement event resolutions, comprehensive financial restructurings, workouts, or exits with the buy-in of multiple external stakeholders and advisors.
  • Independently carry out performance reviews of your portfolios (debt and/or equity-type instruments) (reviews, valuations / provisions, scorings) on a regular basis to ensure best practice financial coverage
  • Prepare and analyze complex financial models; prepare counterpart / transaction reviews
  • Prepare specific provisioning / valuation proposals
  • Apply sound credit and / or investment judgement based on concrete and relevant facts, bringing to use financial know how and experience
  • Communicate ad negotiate in several languages
  • Be prepared to quickly become an expert on the credit drivers of different industries/sectors/products
  • Actively represent the Bank in relation to non-executive advisory functions of its investees; lender’s committees; creditors’ committees
  • Review and implement updates to relevant procedures and pro-actively formulate proposals to improve / adjust systems
  • Participate in periodic reporting produced by the divisions in respect of its portfolios
  • Coach and develop more junior members of staff

Qualifications

  • University degree, preferably in Business Administration, Finance or Economics, or Law
  • At least 5 years of relevant professional experience in the field of:
  1. Structured, leveraged finance
  2. Restructuring within a larger bank or lending organization
  3. Equity investments in the context of a (i) bank, (ii) asset management house or a (iii) larger fund
  • Solid understanding of the economics and contractual mechanics of debt, equity and upside sharing instruments
  • Strong communication skills, both oral and written, including negotiations in various languages
  • Strong presentation skills: ability to present complex ideas in simple terms
  • Understanding of financial documentation and demonstrated experience with its negotiation (with the support of legal counsel)
  • Expert knowledge of specific industries / sectors / products
  • Good knowledge of international accounting standards and valuation methodologies
  • Understanding of the EIB’s mission, organisation and activities
  • Knowledge of the standard computer tools, in particular, strong proficiency in Microsoft Excel and PowerPoint
  • Very good knowledge of English and/or French (*); A good knowledge of other EU languages would be a distinct advantage.
