Corporate Counsel

The Role / Responsibilities:
Moody's Analytics seeks a highly qualified Corporate Counsel to fill a newly created role to work within the EMEA legal function and provide support to the Bureau van Dijk (BvD) line of buiness. This position will be based in the London offices of Moody's Analytics (Canary Wharf) with a focus on continental Europe. The Corporate Counsel position, which reports into the Moody's Analytics Associate General Counsel EMEA, presents an opportunity to provide business-critical professional services in a recently acquired and signifant business line. The successful candidate will be joining an established company at an influential level.
The successful candate will assist with the management of the legal function for Europe and provide primary support for the company's BvD sales organisation, focusing on commercial transactions.
Responsibilities will include:
  • Establishing and maintaining a strong knowledge of the BvD business and its products.
  • In-depth understanding of Moody's Analytics business policies and practices, including preferred contract terms, IP law relevant to Moody's Analytics, general US GAAP revenue recognition guidelines, and ability to explain these policies and procedures clearly to others.
  • Providing Legal support for the BvD client contracting process.
  • Negotiation of Terms of Agreements, Order Forms, client procurement forms and other sales docs.
  • Supporting the BvD Sales and Sales Support teams on RFPs, NDAs, renewals, the amendment of exiting agreements and eventually the repapering of legacy BvD contacts.
  • Ideally providing key local language support (Italian, Spanish or German), esp. on public sector deals.
  • Liaising with external counsel where local language and/or law support is required.
  • Assisting with the maintenance of a multi language suite of client contract templates and clauses.
  • Managing and streamlining internal processes.

The Moody's Analytics legal team comprises 17 qualified attorneys world-wide, headed by a General Counsel in San Francisco. The EMEA legal team comprises 6 qualified attorneys.


  • A qualified lawyer with experience of English law and preferably one other European law.
  • Post qualified experience in a law firm or corporate legal department.
  • Fluency in written and spoken: (i) English and (ii) Spanish, Italian or Germany (with the ability to draft and negotiate contracts in such langauge) . Preference will be given to candidates who have additional fluency in additional European languages.
  • Strong contract drafting and negotiation skills and a sound understanding of various types of data licensing and services transactions, subscription-based business models and familiarity with US GAAP revenue recognition principles.
  • Experience in banking and financial services or a technology/ content company is a strong plus, and potentially with channel partners.
  • Hard working, well organized and process-driven candidates who have a demonstrated ability to manage a diverse workload under demanding deadline pressures.
