Based in London, you will provide legal coverage for the M&A and advisory business of the EMEA Investment Banking & Capital Markets (IBCM) division. The role reports directly to the Head of the EMEA IBCM Legal team.

This role involves, among other activities, the following responsibilities:

  • Advise bankers (including senior management) on legal, regulatory and reputational issues relating to proposed M&A transactions.
  • Review and negotiate engagement letters and other transaction related documents, including fairness opinions.
  • Manage and coordinate relationships with external counsel for the M&A product.
  • Monitor developments in applicable case law, rules and regulations that impact investment banks and M&A transactions (including the UK Takeover Code and FCA rules related to sponsor services).
  • Advise Credit Suisse internal approval committees in connection with their review of M&A transactions, fairness opinions and valuation materials.
  • Assist Conflicts' officers in identifying and addressing potential conflicts.
  • Coordinate with various internal functions to develop policies and procedures applicable to the M&A and advisory business.
  • Assist with business and regulatory change initiatives impacting Credit Suisse.

You Offer

Excellent legal and analytical skills alongside strong interpersonal capabilities. High ethical and control standards with a risk oriented approach is essential. Proven general M&A experience (both public and private), with a strong preference for experience with the UK Takeover Code and the UK Sponsor Regime. Detailed understanding of the broader regulatory framework (e.g. MiFID II) impacting the provision of investment banking services. Extensive experience at a leading UK or international law firm or an investment bank (time spent in-house would be desirable). Results-oriented individual with outstanding written and verbal communication skills.
