L&C Private Equity Transactions Group Lawyer

We are searching for an experienced private equity transactional lawyer who will handle a wide range of M&A, private equity, co-investment and capital markets transactions across EMEA. Credit and special sits

The successful candidate will be a commercially minded lawyer, with broad transactions experience. The role will involve partnering with portfolio managers, internal functions and external counsel to lead the execution of a broad range of transactions.

Primary Responsibilities
  • Act as lead transaction counsel on deals, manage transaction execution, review and negotiate full range of deal documentation.
  • Areas of coverage to include:
  • Strategic M&A, investments and partnerships for BlackRock, Inc. in EMEA;
  • Blackrock Long Term Private Capital (buyout fund);
  • BlackRock Private Equity Partners and Infrastructure Solutions (co-investment platform);
  • Blackrock Global Capital Markets and Natural Resources Platforms (cornerstone, placing, sub-underwriting, pre-IPO and PIPE transactions); and
  • BlackRock Innovation Capital (investments in innovative technology businesses)
  • Fixed Income, Restructuring, Credit, Opportunistic and Event Driven teams.

  • Manage external deal counsel, in conjunction with the investment team, and work closely with portfolio managers, colleagues in legal and compliance and other internal functions during the execution of transactions;
  • Provide advice and support to internal stakeholders to develop, establish and improve internal processes.
  • Take initiative to identify and analyse problems, generate commercial solutions and make decisions with little direction/supervision.
  • Organize training sessions for the business and keep abreast of key market terms and conditions.
  • Adhere to investment process and operational standards.


Requirements
  • Professional background will include previous post-admission experience of 4-8 years, with the majority spent at a leading international law firm or in-house.
  • Significant experience in M&A, private equity, co-investments and capital markets transactions.
  • Experience advising fund managers and non-bank institutions as lenders or investors is a plus.
  • Experience in credit, restructuring, workout and distressed matters of interest.
  • Exceptional interpersonal, analytical, written and oral communication skills - must be able to resolve complex issues in a practical manner on a compressed timeline and to communicate complex concepts in an understandable way.
  • Excellent written and verbal communication skills - presents ideas in a clear, concise and constructive manner.
  • Ability to oversee and effectively manage outside counsel and internal stakeholders.
  • Strong organizational skills and ability to work with others and manage multiple time sensitive matters in a demanding, fast-paced and fluid environment.
  • Motivated team player with ability to work independently and potential to lead as necessary.
  • Ability to take initiative to anticipate, identify and analyse issues, generate potential solutions and make decisions with little direction/supervision.
  • Strong academic background.
  • Strong technical legal and commercial skills.


  • Must be fluent in English. Other European languages are an advantage.
