Corporate Administration Director, AVP
Purpose of Role:
To act as a key member of the GS Jersey management team and fund services board director with operational responsibility for a range of key corporate administration responsibilities including the provision of services to complex fund structures, the establishment of fund structures, fund documentary maintenance requirements, other regulatory and general project work as it arises

Specific Duties:

Complex Fund Administration
  • Be responsible for providing a high specification corporate administration and operational service to corporate fund clients incorporating a comprehensive company secretarial service to fund boards and related entities
  • Ensuring compliance with relevant statutory and regulatory requirements
  • Organising and attending board and shareholder meetings
  • Preparation of draft minutes and written resolutions
  • Ensuring all statutory returns, filings and notifications are made with the Regulator or Registrar at the appropriate time
  • Maintenance of company statutory records
  • Monitoring of outsourced parties as appropriate and ensuring compliance with regulatory outsourcing rules including high level reviews of NAVs produced by outsourced service providers as required.

Fund Establishments / Fund Documentary Maintenance Projects
  • To co-ordinate legal/technical projects such as fund restructurings and legal documentary changes in conjunction with external and internal legal advisers
  • To co-ordinate the establishment of new fund structures and entities, including coordinating the drafting of legal documentation and launch time-tables and reviewing fund documentation , working in conjunction with clients, regulators, professional advisers and in-house risk, compliance, operations and legal staff

Project & Other Duties
  • To take responsibility for the identification, planning and execution of ad hoc regulatory and other projects as they arise in conjunction with the other members of the GS Jersey management team.
  • To be a key member of the GS Jersey Management Team with joint responsibility for setting the strategic direction of GS Jersey, day to day management and contributing to the maintenance of robust compliance and risk controls
  • To act as a director of GS Jersey's administrative operating company as required

Specific Qualifications/ Skills:
  • Preferably professionally qualified with a relevant legal, compliance, accounting, company secretarial or similar qualification
  • A corporate administration specialist with a highly developed knowledge of Jersey companies law, regulation and associated statutory requirements
  • A sound understanding of legal principles and document drafting
  • Highly developed understanding of, and ability to utilize, company secretarial and corporate governance principles and practice
  • Ability to proactively identify, investigate, action and escalate material issues, whether they be of an operational or technical nature

Previous Level of Experience:
  • In addition to the qualification experience above, expectation of a minimum of five years' experience in an investment fund related environment

  • Able to take high levels of ownership and to take responsibility for ensuring that issues are tackled proactively and resolved
  • Good communication skills with a customer focused approach
  • Ability to think and plan strategically
  • Good industry and market knowledge and ability to track industry and market developments
  • Able to act as a director of State Street operating entities
